This ecommerce website is owned and operated by ST-PALET Engineering Limited and exists for the sole purpose of buying and selling of branded consumer goods and services in Nigeria. Your use of the website palet.ng is governed by the following Terms and Conditions. These terms and conditions must be adhered to by every user or visitor on palet.ng. When you visit our site for any reason, it means you have agreed to all terms and conditions listed therein. In the course of this agreement, kindly note that “we”, “us”, “our”, “this”, “Site”, “website”, “palet.ng” and/or “palet” all serve as pronouns and/or aliases to represent this website and company. Also, note that this is an electronically generated document and as such does not require any form of signature.

Membership

In accordance with Nigerian law, only persons aged 18 years and above are legally permitted to use, register as a member, and transact on palet.ng. If you are under 18 years and wish to buy something from our site, you must do so through your parent/guardian who should be 18 or above.

Terms and conditions of use

By using our site you agree to the fact(s) that:

  1. Palet through its marketplace provides a platform both for sellers and buyers to sell and buy products respectively.
  2. Palet is in no way a party between seller and buyer rather we only accept binding sales except for our in-house products.
  3. Once confirmation of purchase is generated in our marketplace, it means that a binding contract between the seller and buyer has been reached for the purchase of goods or services.

  4. The terms and conditions of individual shops in our marketplace which are also in line with our general terms and conditions come into play upon confirmation of the purchase of goods or services.
  5. The product listing which forms the binding contract of sales or services between the seller and buyer shall include; the product price including all taxes, all the required charges to be paid, a complete description of the product or services, and the product images.
  6. The seller also guarantees that the buyer upon purchase of a product or service obtains the sole legal ownership of the item bought.

Refunds and Returns on Stpalet

Payments on Palet

The buyer is obligated to pay the total money stated on the order confirmation generated on the marketplace upon purchase of goods or services.

Palet provides different payment methods that can be found on the checkout page, a buyer is expected to select one of the payment methods.

Content Rules

Your content on our site which includes all your uploads, comments, reviews, post, and write-ups shall be guided by these points:

  1. Your content shall be accurate, truthful, and original in every way possible.

Throughout this Terms of Use, Palet "prior written consent" means a communication coming from Palet Legal department, specifically in response to your request, and specifically addressing the activity or conduct for which you seek authorization.
  7. Your content shall in no way create or inject spam.

  2. You also declared that your purchase or order is for your personal/commercial use, and not for any use that violates the law in any way.

Payments on Palet

Palet is determined to provide the most accurate pricing information on the site to our users; nevertheless, errors may still occur, which could include cases when the price of an item is not displayed correctly on the website. As such, we reserve the right to refuse or cancel any order. In the event that an item is mispriced, we may, at our own discretion, either contact you for instructions or cancel your order and notify you of such cancellation, depending on how the case scenario may be. We reserve the right to refuse/cancel any of such orders whether or not the order has been confirmed and your credit/debit card charged. In the event that we are unable to provide the services, we will inform you of this as soon as possible. A full refund will be given in a case where you have already made successful payments for the products.

Use of Voucher Codes

Palet accepts the use of voucher codes for orders placed online. The marketing voucher codes that are accepted on our Site allow you at the time of ordering a product to have a discount of the amount on the voucher for the order being placed on our Site. Vouchers may also be issued to customers in exchange for advance payments made to us via transfer to our bank accounts for products intended to be purchased on the Site.

Note that Our voucher codes may not be exchanged for cash. With the exception of vouchers issued with a refund policy and vouchers issued in exchange for advance payments, we reserve the right to cancel or withdraw our voucher codes at any time.

Liability of Parties on the Palet Vendor Platform

Palet also operates a vendor platform site which is open for third parties to sell their products on our website. Not all the products listed on the Palet Website are owned or sold by us, neither are we involved


and notify you of such cancellation, depending on how the case scenario may be. We reserve the right to refuse/cancel any of such orders whether or not the order has been confirmed and your credit/debit card charged. In the event that we are unable to provide the services, we will inform you of this as soon as possible. A full refund will be given in a case where you have already made successful payments for the products.

Use of Voucher Codes

Liability of Parties on the Palet Vendor Platform

Palet also operates a vendor platform site which is open for third parties to sell their products on our website. Not all the products listed on the Palet Website are owned or sold by us, neither are we involved in the actual sale transaction between the buyers and sellers on Palet.

The buyer and seller agree that we would be held free from any liability in contract, pre-contract or other representations in tort, for all transactions conducted on the Palet Platform.

Delivery

The Logistics of products purchased on Palet only exists for delivery of products to customers within Nigeria. We make every effort to deliver goods within the estimated timescales set out on our Site; however, delays are occasionally inevitable due to unforeseen or sometimes Contingent factors. We shall be under no liability for any delay or failure to deliver the products within the estimated timeframes where they did not happen due to our fault or negligence.

You agree not to hold the seller liable for any delay or failure to deliver products or otherwise perform any obligation as specified in these Terms and Conditions of Sale if the same is wholly or partly caused whether directly or indirectly by circumstances beyond our reasonable control.

Indemnity

You agree to no hold us, our affiliates, officers, directors, agents and/or employees, as the case may be, responsible for any claim or demand, including reasonable legal fees, related to your breach of these Terms and Conditions of Sale.

Applicable law and jurisdiction

These Terms and Conditions of Sale shall be interpreted and governed by the active laws enforced in the Federal Republic of Nigeria. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts of Nigeria and to waive any objections based upon venue.

Arbitration

Any controversy, claim or dispute arising out of or relating to these Terms and Conditions of Sale will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator held in Nigeria in English and governed by Nigeria law pursuant to the Arbitration and Conciliation Act Cap A18 Laws of the Federation of Nigeria 2004, as amended, replaced or re-enacted from time to time.

The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Nigeria and is independent of either party. Notwithstanding the foregoing, the Site reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.

Severability

If any portion of these Terms or Conditions of Sale is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms and Conditions of Sale and shall not affect the validity or enforceability of any other section listed in this document.

Miscellaneous provisions

  1. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any form of legal requirement that requires such communications be in writing.
  2. Assigning or sub-contracting any of your rights or obligations under these Terms and Conditions of Sale to any third party is prohibited unless agreed upon in writing by the seller.
  3. We reserve the right to transfer, assign or sub-contract the benefit of the whole or part of any rights or obligations under these Terms and Conditions of Sale to any third party.
  4. If a provision of these general terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.
  5. If any unlawful and/or unenforceable provision of these general terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
  6. You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these general terms and conditions.
  7. You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these general terms and conditions.
